These Supplier Portal Terms ("Portal Terms") apply to you if you have been invited by an organisation (the "Buyer") to use the Supplio supplier portal. They are an agreement between you (acting on behalf of the supplier organisation that employs or engages you) and Supplio ("Supplio", "we", "us").
You are nota paying customer of Supplio. The Buyer is. We provide the portal to you for free so that you can respond to the Buyer's onboarding and compliance requests in one place rather than by email. By signing in to the portal you confirm you have read, understood and agree to these Portal Terms.
1. The relationship
- The Buyer has invited you to share information with them through the Supplio platform. The Buyer determines what information is requested and what is done with it.
- Supplio is the operator of the platform. We process the information you submit on the Buyer's behalf as a processor under the UK GDPR.
- Any commercial relationship (purchase orders, contracts, payment terms, certifications required, etc.) is between you and the Buyer. Supplio is not a party to that relationship.
2. Your account
You must use your own uniquely-identified account to access the portal. You are responsible for keeping your sign-in credentials confidential, for the activity that occurs under your account, and for notifying Supplio at security@supplio.co.uk if you suspect your credentials have been compromised. Credential sharing is not permitted.
3. The information you submit
- You warrant that the information you submit is true, accurate, complete and not misleading to the best of your knowledge at the time of submission, and that you have the right to submit it.
- Where the information you submit includes personal data about other people (for example, named contacts at your organisation), you confirm you have the lawful basis to share it and have given those individuals any required notice.
- The Buyer is the controller of the information you submit. Questions about why the Buyer is collecting particular information should be directed to the Buyer in the first instance.
- You grant the Buyer the right to use the information you submit for the purposes for which the Buyer requested it. You grant Supplio a limited licence to host, store and transmit the information for the purpose of providing the portal to you and to the Buyer.
4. Supplier scoring and Buyer decisions
The platform includes a supplier-scoring feature that the Buyer may have configured. Scores are calculated from rule-based signals (such as the completeness of documents you upload, the validity of certifications, the speed with which you respond to requests, and your sustainability declarations). Supplio does not use AI or machine learning to compute the scores.
Scores are an information tool for the Buyer; the Buyer is responsible for any decision it takes about you based on a score (including acceptance, suspension or termination of a supplier relationship). Where you are an identified individual (for example, a sole-trader supplier) and you want to understand or contest a score assigned to you, please contact the Buyer in the first instance. If you cannot reach a resolution with the Buyer, copy privacy@supplio.co.uk and we will route the request appropriately.
5. Acceptable use
You must comply with our Acceptable Use Policy, which is incorporated into these Portal Terms. In particular, you must not upload unlawful, infringing, malicious or fraudulent content; you must not impersonate another person or organisation; you must not attempt to access information that does not relate to you; and you must not attempt to interfere with or test the security of the platform without our prior written authorisation.
6. Privacy
Our Privacy Policyexplains how Supplio processes personal data, including in relation to supplier-portal users. The Buyer's own privacy notice (which the Buyer should make available to you) explains why the Buyer is processing your data and the lawful basis on which it does so.
7. Service availability
We do our best to keep the portal available and reliable, but we provide it to you free of charge and without guarantee. We do not promise any specific level of availability to supplier-portal users. The Service Level Agreement between Supplio and the Buyer does not extend to you.
8. Disclaimer and liability
To the maximum extent permitted by law, Supplio provides the portal "as is" and "as available". We disclaim all warranties (express, implied, statutory or otherwise) in relation to the portal, including warranties of satisfactory quality, fitness for a particular purpose and non-infringement.
Nothing in these Portal Terms limits or excludes any liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be limited or excluded under the laws of England and Wales.
Subject to the previous paragraph, and to the maximum extent permitted by law, Supplio is not liable to you for any loss of profits, business, revenue, contracts, anticipated savings, goodwill, or for any indirect, special or consequential loss, arising under or in connection with your use of the portal, whether in contract, tort (including negligence), breach of statutory duty or otherwise. Our total aggregate liability to you in respect of all claims arising from these Portal Terms will not exceed £100.
9. Suspension and termination
- You may stop using the portal at any time. The Buyer may revoke your access at any time.
- We may suspend or terminate your access immediately if you breach these Portal Terms or the AUP, or if we are instructed to do so by the Buyer that invited you.
- If your access is removed, the information you submitted remains under the control of the Buyer, who will determine its retention in accordance with the Buyer's own data-protection policies.
10. Changes
We may update these Portal Terms from time to time. Material changes will be flagged in the portal. Your continued use of the portal after the effective date of any change constitutes acceptance of the updated Portal Terms.

For anything related to why a particular piece of information has been requested, please contact the Buyer that invited you in the first instance.
12. General
- These Portal Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.
- A person who is not a party has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of these Portal Terms.
- If any provision is held to be invalid or unenforceable, the remaining provisions remain in full force.
- No failure or delay in exercising any right is a waiver of that right.
